1. Introduction

Welcome to Morgan Web Design. By subscribing to our services, you agree to be bound by the following terms and conditions (the “Terms of Service”). These Terms of Service are governed by the laws of the United Kingdom.

2. Scope of Services

2.1 Primary Services
Morgan Web Design provides pay-monthly website design services with a minimum contract period of 12 months.

2.2 Additional Services
Additional services include, but are not limited to:

• SEO, copywriting, proofreading, digital marketing, AI tools, graphic design, videography, video editing, app design and development, and custom web development.
  Some of these services are available on a pay-monthly basis without a minimum commitment period.

2.3 Third-Party Tools and Plugins
Morgan Web Design integrates third-party plugins, tools, and applications as part of the website’s functionality. While we endeavour to use reliable tools, we are not responsible for issues arising from their use, including but not limited to compatibility, functionality, security vulnerabilities, or performance issues. Any updates, licensing costs, or troubleshooting related to third-party tools will be the client’s responsibility unless otherwise agreed.

3. Payment Terms

3.1 Subscription Payments

• Pay-monthly services require payment through Stripe.
• Non-subscription services require 40% upfront and the remaining 60% upon completion.

3.2 Renewals

• Pay-monthly services automatically renew after the initial 12-month term unless a 28-day notice of termination is provided.

3.3 Missed Payments and Early Termination

• Missed payments will result in a 14-day grace period to rectify the issue.
• Cancellation or further missed payments within the 12-month minimum term will result in the full remaining balance for the contract term becoming immediately due.
• Late payments are subject to interest at 4% above the Bank of England base rate and any associated recovery costs, including legal fees.
• A fee equivalent to one month’s payment will be charged for transferring services and data to another provider.

3.4 Refunds
Payments made for services are non-refundable except where Morgan Web Design has failed to deliver the agreed-upon services due to negligence or breach of contract.

4. Delivery and Timelines

4.1 Website Delivery

• Websites will be delivered within 14 days of the initial payment, subject to client responsiveness.
• Delays caused by the client’s failure to provide necessary information or feedback will not be the responsibility of Morgan Web Design.

4.2 Revisions and Feedback

• Reasonable revisions are included to ensure the website meets the client’s specifications.
• Development and revision requests are managed via Trello, in accordance with the development hours included in the client’s package.

5. Ongoing Support and Maintenance

5.1 Support
Ongoing support and further development are subject to the terms of the client’s chosen package.

5.2 Hosting

• Hosting fees are included in pay-monthly packages.
• Morgan Web Design is not responsible for performance or security issues related to external hosting chosen by the client.

5.3 Maintenance
Routine maintenance, security updates, and backups are included in pay-monthly packages. Additional maintenance work outside the scope of the package may incur extra charges.

6. Ownership and Rights

6.1 Ownership

• Upon final payment, the client gains ownership of the website and its content.
• A link back to Morgan Web Design will be included on the client’s website, removable for an additional £5 per month.

6.2 Portfolio Use

• Client websites may be featured in our portfolio unless the client requests otherwise in writing.

6.3 Proprietary Tools

• Bespoke tools, frameworks, or code not part of the client’s website remain the intellectual property of Morgan Web Design.

6.4 Content Ownership

• The client warrants that all materials provided (e.g., images, text, videos) for use on their website are owned by the client or used with proper permission. Morgan Web Design is not responsible for verifying ownership or legality of content.

7. Client Responsibilities

7.1 Content and Feedback
Clients are responsible for:

• Providing all necessary content and feedback in a timely manner.
• Ensuring the accuracy, legality, and appropriateness of all content published on their website. Morgan Web Design is not liable for errors, omissions, or legal issues arising from the client’s content.

7.2 Compliance with Acceptable Use Policy
Clients must ensure that their website content complies with applicable laws and does not infringe on third-party rights. Illegal, offensive, or harmful content will not be published or hosted.

8. Confidentiality and Data Protection

8.1 Confidentiality
Morgan Web Design will maintain the confidentiality of client information and project details, except as required by law or with the client’s consent.

8.2 Data Protection
Morgan Web Design complies with GDPR regulations. Personal data collected during service provision will be processed in accordance with our Privacy Policy.

9. Limitation of Liability

Morgan Web Design is not liable for any indirect, special, incidental, or consequential damages arising out of or in connection with our services.

10. Termination

10.1 By the Client
Early termination by the client, for reasons other than a breach of contract by Morgan Web Design, will result in the full contract value becoming immediately due.

10.2 By Morgan Web Design
Morgan Web Design reserves the right to terminate services if the client breaches these terms, fails to make payments, or engages in activities that could damage Morgan Web Design’s reputation.

11. Force Majeure

Morgan Web Design will not be held liable for delays or failure to perform obligations due to events beyond our reasonable control, including but not limited to natural disasters, war, strikes, pandemics, or internet service disruptions.

12. Dispute Resolution

In the event of a dispute, efforts will be made to resolve the matter through negotiation or mediation before considering legal action.

13. Amendments

These terms may be amended from time to time, with notice provided to clients.

14. Governing Law

These Terms of Service are governed by the laws of the United Kingdom.

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
